2020 Annual General Meeting

United Utilities Group PLC today confirms that, in accordance with the Corporate Insolvency and Governance Act 2020 which came into force on 25 June 2020, the Company’s AGM on 24 July 2020 will be held as a ‘closed meeting’ and shareholders will not be allowed to attend the meeting. Shareholders are encouraged to complete their proxy voting instructions and register any questions they may have in accordance with the processes set out in the notice of meeting.
At the time the notice of AGM was posted to shareholders, The Corporate Insolvency and Governance Bill (the Bill) was being considered by Parliament, impacting, amongst other things, how general meetings are to be held during the COVID-19 pandemic, as part of the measures to limit the spread of the virus. It is anticipated that the Bill will have been passed and become law ahead of the company’s AGM on 24 July. If this is the case, shareholders’ ability to attend the meeting in person will be suspended. A further update will be provided in due course, but for safety purposes it is recommended that shareholders do not plan to attend the AGM. Shareholders are asked to complete their proxy card, voting on the resolutions contained within the notice of meeting, and return to Equiniti. Instructions are contained with the notice of meeting. Our 2020 Annual General Meeting will be held on Friday 24 July 2020 at Haweswater House, Lingley Mere Business Park, Lingley Green Avenue, Great Sankey, Warrington, WA5 3LP.
S311A of the Companies Act 2006 requires that the following information is to be provided: as at 12 June 2020, the total number of shares in the company in respect of which members are entitled to exercise voting rights at the meeting is 681,888,418 ordinary shares of five pence each. Each ordinary share has one vote. The deferred shares do not carry any voting rights.
